By accessing or using the Site, you agree to be bound by these Terms and our Privacy Policy. If you do not agree with any part of these Terms, you must not use this Site.
1. No Medical Advice (Important Disclaimer)

3. Patient Portal Access
If you are provided access to our secure patient portal, you are responsible for maintaining the confidentiality of your account login credentials, including your username and password. You agree to accept responsibility for all activities that occur under your account.
Security Obligations: You agree to log out of your portal session when not in use and to access the portal only from secure, trusted devices. You acknowledge that leaving a session unattended on a shared or public device may expose your personal health information to unauthorized parties.
Unauthorized Access: You must notify us immediately at Contact, Email or Phone if you become aware of any unauthorized use of your account or any other breach of security. MaxWell Clinic will not be liable for any loss or damage arising from your failure to safeguard your login credentials.
Not for Emergencies: The patient portal is not monitored continuously and is not an appropriate channel for urgent or emergency medical communications. If you are experiencing a medical emergency, call 911 or go to the nearest emergency room immediately.
Account Suspension or Termination: MaxWell Clinic reserves the right to suspend or terminate portal access at its discretion, including in cases of suspected misuse, security concerns, or upon termination of the patient relationship.
4. Telehealth
MaxWell Clinic may offer telehealth or virtual consultation services to eligible patients. By participating in a telehealth visit, you acknowledge and agree to the following:
Nature of Telehealth: Telehealth services are conducted remotely using audio and/or video technology. While we strive to provide high-quality virtual care, telehealth has inherent limitations compared to in-person visits. Certain examinations, diagnostic tests, and procedures may not be performable remotely. Your provider may determine that an in-person visit is necessary and will advise you accordingly.
Technology Requirements and Failures: You are responsible for ensuring you have the necessary technology, internet connection, and software required to participate in a telehealth visit. MaxWell Clinic is not responsible for interruptions, technical failures, or loss of connectivity that may affect the quality or continuity of a virtual visit.
Licensing and State Law: Telehealth services are subject to applicable state laws and licensing requirements. Our providers may only deliver telehealth services to patients who are physically located in a state where the treating provider is licensed at the time of the visit. It is your responsibility to confirm your location and eligibility prior to a virtual appointment.
Patient Consent: Participation in a telehealth visit constitutes your consent to receive care through this modality. A separate informed consent form may be required prior to your first virtual visit.
Privacy During Your Visit: You are responsible for ensuring that you are in a private, secure location during your telehealth visit to protect the confidentiality of your health information.
5. Intellectual Property
All content, features, and functionality on the Site—including but not limited to text, graphics, logos, icons, images, audio clips, and software—are the exclusive property of MaxWell Clinic or its licensors and are protected by United States and international copyright, trademark, patent, and other intellectual property laws.
You may access and use the material on this Site for your personal, non-commercial use only. You may not reproduce, distribute, modify, create derivative works of, publicly display, or transmit any of the material on our Site without our prior written consent.
Prohibition on AI Training Use: No content, data, text, images, or other material from this Site may be used, scraped, harvested, or otherwise collected for the purpose of training, fine-tuning, developing, or improving any artificial intelligence or machine learning model, system, or application, without the express prior written consent of MaxWell Clinic.

In no event shall MaxWell Clinic, its doctors, officers, directors, employees, or agents be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to your use of the Site, including but not limited to damages for personal injury, lost profits, loss of data, or business interruption, even if MaxWell Clinic has been advised of the possibility of such damages.
Liability Cap: To the maximum extent permitted by applicable law, MaxWell Clinic’s total cumulative liability to you for any claims arising out of or related to your use of this Site — regardless of the form of action — shall not exceed the greater of (a) the total fees, if any, paid by you to Maxwell Clinic in the twelve (12) months preceding the event giving rise to the claim, or (b) one hundred dollars ($100.00).
Your sole remedy for dissatisfaction with the Site is to stop using the Site.
10. Indemnification
You agree to defend, indemnify, and hold harmless MaxWell Clinic, its affiliates, licensors, and service providers, and its and their respective officers, directors, employees, contractors, and agents from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys’ fees) arising out of or relating to your violation of these Terms or your use of the Site.
11. Governing Law and Jurisdiction
These Terms shall be governed by and construed in accordance with the laws of the State of Tennessee, without regard to its conflict of law provisions. Any legal action or proceeding arising under these Terms will be brought exclusively in the federal or state courts located in or overseeing Williamson County, Tennessee, and you hereby irrevocably consent to the personal jurisdiction and venue therein.12. Severability
If any provision of these Terms is held by a court of competent jurisdiction to be invalid, illegal, or unenforceable, that provision shall be modified to the minimum extent necessary to make it enforceable, and the remaining provisions of these Terms shall continue in full force and effect.13. Waiver
No failure or delay by MaxWell Clinic in exercising any right, power, or privilege under these Terms shall operate as a waiver of that right. No single or partial exercise of any right shall preclude any other or further exercise of that right or any other right.
14. Entire Agreement
These Terms, together with our Privacy Policy and any signed patient agreements or consent forms you have executed with MaxWell Clinic, constitute the entire agreement between you and MaxWell Clinic with respect to your use of this Site and supersede all prior or contemporaneous understandings, agreements, representations, or warranties.
15. Changes to These Terms
We reserve the right, at our sole discretion, to modify or replace these Terms at any time. Any changes will be posted on this page with an updated “Last Updated” date at the top.
